operated by North South VC, LLC ("North South Ventures," "NSV," "we," "us," or "our"). By accessing or
using the Site, you agree to these Terms. If you do not agree, do not use the Site.
About North South Ventures
North South VC, LLC is a venture capital firm. The Site provides general information about our firm and a way for founders and others to contact us or submit materials.
No offer of securities. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or interest in any fund, and nothing on the Site should be relied upon as the basis for any investment decision. Any such offer would be made only through definitive offering documents to eligible investors.
Not investment, legal, or tax advice. Information on the Site is provided for general informational purposes only. It is not investment advice, legal advice, tax advice, or a recommendation of any kind, and it does not take into account your particular circumstances. Using the Site
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

Submissions
If you submit a pitch deck, business plan, idea, or any other materials or information to us through the Site or otherwise (a "Submission"), the following applies.
Submissions are not confidential. Unless we have signed a separate written agreement with you that expressly says otherwise, we do not accept any Submission in confidence. We are under no obligation to keep any Submission confidential, to refrain from using it, or to compensate you for it. Please do not send us information you consider confidential or proprietary, and do not send us anything you are not authorized to share.
We see many similar ideas. We review a large number of companies and ideas, many of which may be similar to your Submission. Nothing in these Terms restricts our ability to invest in, advise, or work with companies that compete with or resemble yours, or to develop or evaluate similar ideas, provided we do not breach a separate written agreement with you.
License to use Submissions. By making a Submission, you grant us a non-exclusive, royalty-free, worldwide license to review, use, and share it internally and with our advisors and potential co-investors for the purpose of evaluating a possible relationship with you, consistent with our Privacy Policy. You represent that you have the right to make the Submission and that it does not violate the rights of any third party.
Intellectual property
The Site and its contents, including text, graphics, logos, and design, are owned by North South VC, LLC or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to access and view the Site for your personal, non-commercial use. You may not copy, reproduce, modify, distribute, or create derivative works from the Site without our prior written consent, except as permitted by these Terms or applicable law.
The "North South Ventures" name and logo are our marks. You may not use them without our permission.
Third-party links
The Site contains links to third-party websites and services, including LinkedIn and X (formerly Twitter). We provide these links for convenience only. We do not control and are not responsible for the content, policies, or practices of any third-party site, and a link does not imply our endorsement.

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION ON IT IS ACCURATE, COMPLETE, OR CURRENT.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NORTH SOUTH VC, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
Indemnification
You agree to indemnify and hold harmless North South VC, LLC and its members, managers, officers, employees, and affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Site, your Submissions, or your violation of these Terms.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect means you accept the revised Terms.
